Terms of Service

These Terms of Service constitute a binding legal agreement between you and Techpaylogic Technologies Pvt Ltd ("Paylogic"). Please read them carefully before accessing or using our platform and services.

Acceptance of Terms

By accessing, registering on, or using any service offered by Techpaylogic Technologies Pvt Ltd ("Paylogic", "Company", "we", "us", or "our"), you ("User", "Merchant", "you") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable guidelines, policies, and amendments hereto.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall refer to that entity.

Important
If you do not agree to these Terms, you must not use our services. By completing registration, submitting a KYC application, or initiating any transaction through the Paylogic Platform, you conclusively indicate your acceptance of these Terms.

Key Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform" — Paylogic's website (paylogic.in), mobile applications, merchant dashboard, API services, and all related tools and interfaces operated by Techpaylogic Technologies Pvt Ltd.
  • "Services" — All financial and technology services offered by Paylogic, including payment gateway, payout services, POS solutions, QR payments, verification suite, and connected banking APIs.
  • "Merchant" — A business entity or individual registered with Paylogic to accept payments and/or disburse payouts via our Platform.
  • "Transaction" — Any payment collection, payout disbursement, refund, settlement, or banking instruction processed through the Platform.
  • "Settlement" — The transfer of collected transaction funds to a Merchant's designated bank account after applicable deductions.
  • "MDR" — Merchant Discount Rate; the fee charged per transaction as agreed in the Merchant Agreement.
  • "KYC" — Know Your Customer; the identity and due diligence process required by RBI and PMLA regulations.
  • "Nodal Account" — A pooled escrow-type bank account held by Paylogic for the temporary holding of Merchant funds pending settlement.

Our Services

Paylogic provides a unified fintech infrastructure platform offering the following core services to registered Merchants:

3.1 Payment Gateway

An online payment acceptance solution supporting UPI, Credit/Debit Cards (Visa, Mastercard, RuPay), Net Banking, Wallets, EMI, and BNPL options. Merchants may integrate via our APIs, hosted payment page, or SDK.

3.2 Payout Services

Bulk and single-transfer disbursement services supporting NEFT, RTGS, IMPS, UPI, and fund transfers to bank accounts, UPI IDs, and wallets. Subject to RBI PA-CB framework guidelines.

3.3 POS & QR Payments

Physical point-of-sale (POS) terminals and QR code-based payment acceptance solutions for offline and semi-online Merchant environments.

3.4 Verification Suite

API-based identity and financial verification services including PAN verification, Aadhaar e-KYC, bank account validation (penny drop / name match), GST verification, and UPI handle validation.

3.5 Connected Banking APIs

Embedded banking solutions including current account creation APIs, virtual account issuance, escrow account management, and real-time balance and statement APIs.

Service Availability
We target 99.99% platform uptime per our SLA. However, services may be temporarily unavailable during scheduled maintenance (announced in advance) or due to circumstances beyond our control including RBI/NPCI system outages, banking partner downtime, or force majeure events.

Eligibility & KYC Requirements

To use Paylogic's services, you must meet all of the following eligibility criteria:

4.1 Entity Eligibility
  • Be a legally registered entity in India — Private Limited Company, LLP, Partnership Firm, Sole Proprietorship, Trust, or NGO
  • Have a valid and active PAN card and GSTIN (where applicable)
  • Operate in a business category permitted under RBI's Payment Aggregator guidelines
  • Have a verified Indian bank account in the name of the registered entity
4.2 KYC & Due Diligence

All Merchants must complete our mandatory KYC process before being activated on the Platform. This includes submission of:

  • Business registration certificate (CIN / Partnership Deed / Udyam Certificate)
  • PAN card of the entity and all directors/beneficial owners
  • Aadhaar/Passport of all directors/partners (for individual KYC)
  • Cancelled cheque or bank account statement for verification
  • GSTIN certificate and proof of business address
  • Website/App URL and privacy policy (for online merchants)
4.3 Ongoing Compliance

Paylogic reserves the right to conduct periodic KYC reviews, enhanced due diligence (EDD), and to request updated documentation at any time. Failure to provide requested documents within 7 business days may result in temporary suspension of services.

5

Account & Security Obligations

5.1 Account Registration

Each Merchant may maintain one primary account per legal entity. You are responsible for providing accurate, current, and complete information during registration and for updating it promptly when it changes.

5.2 Credential Security

You are solely responsible for maintaining the confidentiality of your API keys, dashboard passwords, and MFA devices. You must:

  • Never share API keys or credentials with unauthorised parties
  • Immediately notify us at letstalk@paylogic.in of any suspected breach or unauthorised access
  • Use environment-specific keys (production vs. sandbox) and rotate them periodically
  • Enable Multi-Factor Authentication (MFA) on your dashboard account
5.3 Liability for Credentials

Any transactions, actions, or instructions originating from your account credentials will be attributed to your account. Paylogic shall not be liable for losses arising from your failure to maintain credential security, provided we have taken reasonable technical precautions on our end.

API Key Security
Production API keys grant full access to your payment operations. Never embed production API keys in client-side code, public repositories, or mobile app binaries. Use server-side calls only. Paylogic is not liable for fraudulent transactions resulting from exposed credentials.

Payments, Pricing & Fees

6.1 Merchant Discount Rate (MDR)

Transaction fees are governed by the MDR schedule agreed in your individual Merchant Agreement or onboarding plan. The applicable MDR depends on your business category, transaction volume, and payment method.

6.2 Fee Transparency
  • All applicable fees are clearly disclosed in your Merchant Dashboard before activation
  • GST at the prevailing rate (currently 18%) is applicable on all service charges
  • Per-transaction fees are automatically deducted before settlement to your account
  • Payout transaction charges, if applicable, are disclosed separately in the Payout fee schedule
6.3 Refunds to End Customers

When you initiate a refund to your end customer through the Paylogic Platform, the refunded amount will be deducted from your next settlement cycle or from your Nodal Account balance. Gateway charges on the original transaction are generally non-refundable unless otherwise agreed in your Merchant Agreement.

6.4 Chargebacks

You are responsible for managing and responding to chargeback disputes raised by your customers. Paylogic will provide you with chargeback notices and assist in the dispute process. Unresolved or losing chargebacks will be debited from your settlement account. Merchants with chargeback rates exceeding 1% may be subject to enhanced review or service suspension.

6.5 Fee Changes

Paylogic reserves the right to revise its fee structure with 30 days prior written notice (via email or dashboard notification). Continued use after the effective date of any price change constitutes acceptance of the new fees.

Settlements & Payouts

7.1 Settlement Timelines

Standard settlement cycles are T+1 to T+3 business days (where T is the transaction date), subject to your account's settlement plan, bank partner processing times, and RBI guidelines. Faster settlement options may be available under specific plans.

7.2 Settlement Holds

Paylogic may place a hold on settlements under the following circumstances:

  • Suspected fraudulent transactions or abnormal transaction patterns
  • Pending KYC re-verification or document deficiency
  • Regulatory investigation, law enforcement direction, or court order
  • High chargeback ratio or risk-based review
  • Suspected violation of these Terms or RBI regulations

We will notify you of any settlement hold within 24 hours via registered email and provide an expected resolution timeline.

7.3 Payout Disbursements

Payouts processed via the Payout API are subject to IMPS/NEFT/RTGS bank availability, daily/monthly payout limits as configured in your account, and RBI guidelines for Prepaid Payment Instruments and payment aggregators.

7.4 Incorrect Bank Details

Paylogic is not liable for failed or erroneous payouts resulting from incorrect bank account details provided by the Merchant or the Merchant's customers. It is the Merchant's responsibility to validate beneficiary bank details before initiating payouts.

Prohibited Uses

You must not use the Paylogic Platform for any of the following categories of businesses or activities. This list is not exhaustive:

8.1 Illegal or Regulatory-Restricted Activities
  • Any activity that violates Indian law, RBI regulations, FEMA, PMLA, or any applicable statute
  • Gambling, betting, lotteries, fantasy sports (unless specifically licensed and approved by Paylogic)
  • Sale of narcotics, controlled substances, or illegal pharmaceuticals
  • Pyramid schemes, Ponzi schemes, or multi-level marketing structures that violate the PCMCS Act
  • Cryptocurrency exchanges or digital asset trading platforms (without RBI/SEBI clearance)
  • Weapons, ammunition, or explosive devices
  • Human trafficking, escort services, or obscene content
8.2 Fraudulent or Deceptive Practices
  • Processing fictitious, manufactured, or "self-deal" transactions
  • Splitting transactions to evade AML monitoring thresholds
  • Using another Merchant's API credentials or impersonating Paylogic
  • Providing false business information during onboarding or KYC
  • Any activity designed to launder money, fund terrorism, or evade tax
8.3 Technical Abuse
  • Attempting to reverse-engineer, scrape, or extract data from the Platform without authorisation
  • DDoS attacks, penetration testing, or vulnerability probing without written authorisation
  • Automated bots or scripts that abuse API rate limits
Consequences
Violation of this Section may result in immediate account suspension, permanent termination, reporting to RBI, FIU-IND, or law enforcement, and civil or criminal liability. Settlement funds may be frozen pending investigation.

Intellectual Property

All intellectual property rights in the Paylogic Platform — including but not limited to the software, APIs, UI/UX designs, documentation, brand assets, logos, trade names, trademarks, and service marks — are the exclusive property of Techpaylogic Technologies Pvt Ltd and are protected under applicable Indian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your legitimate business purposes in accordance with these Terms and the applicable Merchant Agreement. This licence does not include:

  • Sub-licensing, reselling, or white-labelling our services to third parties (without a separate written agreement)
  • Copying, modifying, or creating derivative works from our Platform or API documentation
  • Removing or altering any copyright, trademark, or proprietary notices
  • Using the Paylogic brand name, logo, or trademarks in any marketing material without our written consent

You retain ownership of all data and content you upload or create on the Platform ("Merchant Data"). You grant Paylogic a limited licence to use Merchant Data solely to provide and improve the Services.

Limitation of Liability & Indemnification

10.1 Disclaimer of Warranties

The Paylogic Platform is provided on an "as-is" and "as available" basis. While we strive for the highest service quality, we do not warrant that the Platform will be uninterrupted, error-free, or free from technical failures. We expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by Indian law.

10.2 Limitation of Liability

To the maximum extent permitted by applicable law, Paylogic's total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Paylogic in the 3 months immediately preceding the event giving rise to the claim.

Paylogic shall not be liable under any circumstances for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of revenue, profits, data, goodwill, or business opportunities
  • Damages arising from banking partner failures, NPCI/UPI downtime, or third-party service disruptions
  • Losses arising from your failure to maintain security over credentials or API keys
  • Regulatory penalties or fines imposed on your business
10.3 Indemnification by Merchant

You agree to indemnify, defend, and hold harmless Paylogic, its directors, employees, officers, agents, and partners from any claims, damages, losses, penalties, or legal proceedings arising out of:

  • Your breach of these Terms or any applicable law
  • Fraudulent, illegal, or unauthorised transactions initiated through your account
  • Your infringement of any third party's intellectual property or privacy rights
  • Your failure to maintain security over your integration or API keys
  • Any dispute between you and your customers arising from products or services you sell

Termination & Suspension

11.1 Termination by You

You may terminate your Paylogic account at any time by providing a minimum 30 days written notice to letstalk@paylogic.in. All outstanding settlements, fees, and chargeback liabilities must be resolved before account closure is processed.

11.2 Termination or Suspension by Paylogic

Paylogic may suspend or terminate your access, with or without notice, in the following circumstances:

  • Breach of any provision of these Terms or the Merchant Agreement
  • Failure to complete or maintain KYC compliance
  • Suspected fraud, money laundering, or prohibited use (Section 8)
  • Direction from RBI, FIU-IND, a court order, or law enforcement
  • Cessation of your business operations or insolvency proceedings
  • Prolonged account inactivity (more than 12 consecutive months)
11.3 Effect of Termination

Upon termination: (a) your licence to use the Platform ceases immediately; (b) Paylogic will complete any pending settlements for bona fide transactions within the applicable settlement cycle; (c) any outstanding amounts owed to Paylogic become immediately due; (d) Paylogic will retain data for the periods mandated by law (see Privacy Policy, Section 5).

Disputes, Governing Law & Jurisdiction

12.1 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the matter amicably through direct negotiation within 30 days of one party notifying the other in writing.

12.2 Arbitration

If the dispute is not resolved through negotiation within 30 days, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause above, the courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any matters not subject to arbitration.

12.4 Regulatory Complaints

For disputes related to payment processing failures or delays, you may also escalate to the RBI Ombudsman for Digital Transactions under the Integrated Ombudsman Scheme. Our designated Nodal Officer details are available on request at letstalk@paylogic.in.

Amendments to These Terms

Paylogic reserves the right to modify or update these Terms at any time. When material changes are made, we will:

  • Update the "Last Updated" date at the top of this document
  • Notify registered Merchants via email with a summary of key changes
  • Display a prominent in-dashboard notification for 30 days post-update

Your continued use of the Paylogic Platform after the effective date of updated Terms constitutes your binding acceptance of those changes. If you disagree with any amendment, you must notify us and cease using the Platform. We recommend reviewing these Terms periodically to stay informed of your rights and obligations.

We are committed to acknowledging complaints within 48 hours and resolving them within 30 business days.
